2) LICENSE

KSCL, hereby grants you a limited, non-exclusive, non-assignable andnon-transferable license to access KSCL provided and expressly conditioned upon your agreement that all such access and use shall be governed by all of the terms and conditions set forth in this USER AGREEMENT.

3) COPYRIGHT & NO RETRANSMISSION OF INFORMATION:

KSCL as well as the design and information contained in this site is the valuable, exclusive property of KSCL, and nothing in this Agreement shall be construed as transferring or assigning any such ownership rights to you or anyother person or entity. All stock call information on KSCL is the proprietary, confidential property of KSCL and cannot be repeated for any reason outside the KSCL.

You agree not to repeat or rebroadcast in any way any of the stock call information made on KSCL for any reason whatsoever. You agree that if you dorepeat or re-post any of KSCL calls by any mean, you will be liable for actual and punitive damages as determined by KSCL and additional damages to be determined by a Bangladeshi court of Law.

You may not resell, redistribute, broadcast or transfer the information or use the information in a searchable, machine-readable database unless separately and specifically authorized in writing by KSCL prior to such use. You may notrent, lease, sublicense, distribute, transfer, copy, reproduce, publicly display, publish, adapt, store or time-share KSCL, any part thereof, or any ofthe information received or accessed there from to or through any other person or entity unless separately and specifically authorized in writing by KSCL prior to such use.

In addition, you may not remove, alter or obscure any copyright, legal or proprietary notices in or on any portions of KSCL without prior written authorization Except as set forth herein, any other use of the information contained in this site requires the prior written consent of mcd and may require a separate fee.

Intellectual Property Rights(IP):

KSCL hereby grants to the User, the right to use the Service in accordance withthese terms, and for no other purpose. Please note that all elements contained on this Web-Site including all individual articles, columns and other elements making up the Service are also Copyrighted works and are owned by KSCL and/ orits Suppliers and are protected by Copyright, Service Marks and Trademark laws, International Treaty provisions and/or other proprietary rights under the laws of India and this Terms of Use.

By using the service you agree to abide by all applicable Copyright and other laws as well as any additional Copyright notices or restrictions contained inthe Service. KSCL or other third parties shall be entitled to obtain equitable relief for any violation of their IP, over and above all other remedies available to it to protect its interests therein. 4) DELAYS IN SERVICES:

Neither KSCL (including its and their directors, employees, affiliates, agents, representatives or subcontractors) shall be liable for any loss or liability resulting, directly or indirectly, from delays or interruptions due toelectronic or mechanical equipment failures, telephone interconnect problems,defects, weather, strikes, walkouts, fire, acts of God, riots, armed conflicts, acts of war, or other like causes. KSCL shall have no responsibility to provide you access to KSCL while interruption of KSCL is due to any such cause shall continue.

You agree that KSCL (including its and their officers, directors, employees, affiliates, group companies agents, representatives or subcontractors) shall not in any event be liable for any special, incidental or consequential damages arising out of the use or inability to use KSCL for any purpose whatsoever. KSCL and it’s affiliates, officers, directors, employees and agents shall have noliability in tort, contract, or otherwise to user and/or any third party.

9) LINKS TO THIRD PARTY SITES

The links in this site will allow you to leave KSCL. The linked sites are notunder the control of KSCL. KSCL has not reviewed, nor approved these sites andis not responsible for the contents or omissions of any linked site or any links contained in a linked site. The inclusion of any linked site does notimply endorsement by KSCL of the site. Third party links to KSCL shall be governed by a separate agreement.

10) INDEMNIFICATION:

You shall indemnify, defend and hold harmless KSCL (including its and theirofficers, directors, employees, affiliates, group companies, agents, representatives or subcontractors) from any and all claims and losses imposedon, incurred by or asserted as a result of or related to:

(a) your access and use of KSCL
(b) any non-compliance by user with the terms and conditions hereof; or
(c) any third party actions related to users receipt and use of the information, whether authorized or unauthorized. Any clause declared invalid shall be deemed severable and not affect the validity or enforceability of the remainder. These terms may only be amended in a writing signed by KSCL

11) CONFLICTING TERMS:

If there is any conflict between this User Agreement and other documents, this User Agreement shall govern, whether such order or other documents is prior toor subsequent to this User Agreement, or is signed or acknowledged by any director, officer, employee, representative or agent of KSCL.

12) ATTORNEY'S FEES:

If KSCL takes action (by itself or through its associate companies) to enforce any of the provisions of this User Agreement, including collection of any amounts due here under, mcd shall be entitled to recover from you (and you agree to pay), in addition to all sums to which it is entitled or any other relief,at law or in equity, reasonable and necessary attorney's fees and any costs ofany litigation.

13) ENTIRE AGREEMENT:

This User Agreement constitutes the entire agreement between the parties, and no other agreement, written or oral, exists between you and KSCL. By using the Information on KSCL, you assume full responsibility for any and all gains and losses, financial, emotional or otherwise, experienced, suffered or incurred by you. KSCL does not guarantee the accuracy, completeness or timeliness of, or otherwise endorse in any way, the views, opinions or recommendations expressed in the Information, does not give investment advice, and does not advocate the purchase or sale of any security or investment by you or any other individual.

The Information is not intended to provide tax, legal or investment advice,which you should obtain from your professional advisor prior to making any investment of the type discussed in the Information. The Information does not constitute a solicitation by the information providers, KSCL or other of the purchase or sale of securities.

In such countries, the respective liability of KSCL, its employees, agents,successors, assigns, affiliates, group companies and content or service providers respective liability is limited to the amount provided under saidlaw. Further, you agree and understand that all services provided are non-refundable and that you should carefully consider whether our services areable to meet your needs.

15) TERMINATION:

This User Agreement and the license rights granted hereunder shall remain infull force and effect unless terminated or canceled for any of the following reasons: (a) immediately by KSCL for any unauthorized access or use by you (b) immediately by KSCL if you assign or transfer (or attempt the same) any rightsgranted to you under this Agreement; (c) immediately, if you violate any of theother terms and conditions of this User Agreement. Termination or cancellation of this Agreement shall not affect any right or relief to which KSCL may beentitled, at law or in equity. Upon termination of this User Agreement, allrights granted to you will terminate and revert to KSCL. Except as set forthherein, regardless of the reason for cancellation or termination of this User Agreement, the fee charged if any for access to KSCL is non-refundable for anyreason.

16) JURISDICTION:

The terms of this agreement are exclusively based on and subject to Bangladeshi law. You hereby consent to the exclusive jurisdiction and venue of courts in Dhaka, Bangladesh, in all disputes arising out of or relating to the use of this website. Use of this website is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.

17) Money Laundering

Agree that you are fully aware of the provisions of the Prevention of Money Laundering Act, 2002, and rules made there under and you will not use the website(s) and/or the services (or any part thereof) for any purpose which isin violation of the applicable anti-money laundering laws, statutes, rules and regulations and any related or similar laws, statutes, rules, regulations orguidelines issued, administered or enforced by any governmental agency in the jurisdictions in which you are a subject thereto (collectively, the"Anti-Money Laundering Laws"), and no action, suit or proceeding byor before any court or governmental agency, authority or body or any arbitrator involving you with respect to the Anti-Money Laundering Laws is pending or, tothe best of your knowledge threatened.

Agree that that any payment made by you to subscribe to the services is derivedthrough legitimate sources and is not held or designed for the purpose of contravention of any Anti-Money Laundering Laws or any statute or legislationsor applicable laws or notifications, directions issued by any governmental orstatutory authority from time to time.

18) TERMS RELATED TO ONLINE PAYMENTS

Online Card Payments: one-time payment:

Credit/Debit Card payments are processed through "SSLCOMMERZ", anonline payment gateway system or any other payment gateway system that KSCL may use from time to time. By using a credit/debit card to pay for our services, you confirm that the card being used is yours. All credit/debit card holdersare subject to validation checks and authorization by the card issuer.

The Card information provided will be authenticated by your bank through the payment gateway system directly without any information being stored at our website. In approximately 25-30 seconds (depending on your internet connection) your bank will issue, using the online payment gateway "SSLCOMMERZ" or any other payment gateway that KSCL may be using, an authorization code and confirmation of completion of transaction. The information provided is used bythe payment gateway system "SSLCOMMERZ" or any other payment gateway system that KSCL may be using to process the payment.

Please note KSCL does not save or store your credit card information on any ofit's servers. This information is passed on to our payment gateway for processing.

Internet Banking

If you have an account with any of the banks made available for making paymentby online payment gateway "SSLCOMMERZ" or any other online payment gateway system that KSCL may be using, then you can pay through respective bank's net banking options and the amount will be automatically debited fromyour account through an online gateway system, which enables safe and secure transaction.

Transaction Confirmation

Once your transaction has been completed, you will receive a confirmation ofyour transaction from KSCL. If you do not receive a confirmation of your transaction, first look into your "spam" or "junk" folderto verify that it has not been misdirected, and if still not found, please contact us.

Maintenance of trading account

Money pay-in to KSCL - The Client agrees that all payments due to KSCLwill be made within the specified time and in the event of any delay, KSCL may refuse, at their discretion, to carry out transactions or close out the positionand the costs/losses if any, thereof shall be borne solely and completely bythe client. All payments made to KSCL shall be from the account of the clientand shall not to be from any third party.

Money payout to KSCL - Notwithstanding anything contained in anyother agreement or arrangement, if any, between the parties hereto, the client thereby authorizes KSCL to release all payments due to him from the trading account maintain with KSCL, against specific request in this behalf.

Securities pay-in to KSCL - All delivery to be effected to KSCL fora trade, must be made within 24 hours from the execution of the sale order orone day before the pay-in date, whichever is earlier. Losses, if any, that may accrue in the event of a default in completing the delivery on the exchange by KSCL as a result of any delay in the delivery by the client, shall be borne solely and completely by the client. Losses for the purposes of this clause shall include auction debits/ penalty charges, if any incurred as a result ofnon-delivery of securities on the settlement date on the exchange.

No third-party shares will be sold through KSCL or third-party payment shouldbe made to KSCL and client will be solely responsible for any violation. If the client has sold any securities from the exchange against purchase in previous settlements, such sale shall be at the sole risk as to costs and consequences thereof of the client. Securities pay-out by KSCL - KSCL may directly creditthe demat account of the client with the depository participant or maintain the securities account with KSCL on a running account basis.

Provided that if the order placed by the client through the website orotherwise is for securities which are in the no-delivery period, suchsecurities shall be credited to the trading account of the client only at thetime of settlement of trades, as per the schedule of the Exchange. However, ifany sum due from the client, KSCL may withholds the credit of securities to thedemat account of the client. However, the client authorizes KSCL to withholdthe securities to meet liabilities of client to KSCL under this agreement. KSCLis entitled to consider any sum or money or security lying to the credit of theclient as margin received.

Use of Password

User shall be responsible for creating and safe keeping of his Password. In theevent a User is given a password by KSCL, the User shall ensure that such password is kept in a secure manner. User may not assign his/her password obtained to any person or entity without the prior written consent of KSCL. KSCL does not have access to such password since it is generated randomly on the KSCLsystem, encrypted and passed on to the User.

User shall bear all responsibility of keeping the password secure and in the event that the User incurs any liability to KSCL or any other third party as aresult of the password being used by third parties, or due to improper use ofthe password, User shall, without limitation, bear all such liability. Not with standing anything contained herein, in the event any liability arising to the User as a consequence of any of KSCL's employees accessing the User's password without authorization shall be borne by the User.

SUBMISSIONS

Visitor agrees as a condition of viewing, that any communication between Visitor and Website is deemed a submission. All submissions, including portions there of, graphics contained thereon, or any of the content of the submission, shall become the exclusive property of the Website and may be used, without further permission, for commercial use without additional consideration of any kind.

MONITORING

KSCL does not represent, warrant or guarantee that you will be able to accessor use the Services at times or locations of your choosing, or that KSCL willhave adequate capacity for the Services as a whole or in any geographiclocation.

KSCL does not represent, warrant or guarantee that the Services will provide uninterrupted and error-free service. KSCL does not make any warranties or guarantees with respect to the Services and the Content, including but notlimited to, warranties for merchant ability or fitness for a particular purpose.Without limiting the foregoing KSCL will not be responsible for an impossibility to execute orders and requirements due to failures in the operation of informational systems caused by technical faults, which are beyond its control.

You agree to fully indemnify, defend and hold harmless KSCL, its corporate affiliates and their respective officers, directors and employees immediately upon demand from and against all claims, demands, liabilities, damages, losses,costs and expenses, including legal fees and other charges whatsoever,howsoever caused, that may arise as a result of: (i) any breach of these Termsand Conditions by you or

(ii) violation by you of any law or the rights of any third party. Without prejudice to any other rights in these Terms and Conditions, if You breach inwhole or in part any provision contained herein, KSCL or any of its corporate affiliates which provide the Services to You reserve the right to take such action as they sees fit, including (but not limited to) terminating any agreement in place with You, terminating or blocking the Services to You and/or taking legal action against you.

Governing Law and Court Jurisdiction

These Terms and Conditions shall be governed by the laws of the People’s Republic of Bangladesh, without regard to conflicts of law principles there of.This is the case regardless of whether you reside or transact business with KSCL anywhere else in the world. If any part of these Terms and Conditions are held unlawful, void or unenforceable, that part will be deemed severable and willnot affect the validity and enforceability of any remaining provisions.
